B) Provide a brief description of the activities of each affiliate company.

ANSWER

A) Please see Attachment 1 (Excel Spreadsheet, 26kb).

B) TELUS Corporation ("TELUS") is a management holding corporation whose wholly owned subsidiaries are providers of telecommunications services, personal communications services, and directory advertising services. The ten such subsidiaries of TELUS are: AGT Limited, 600839 Alberta Ltd., AGT Directory Ltd., 669680 Alberta Ltd., AGT Mobility Inc., TELUS Information Services Inc., 423337 Alberta Ltd., Alta Telecom International Ltd. ("ATI"), ED TEL Inc. and Telus Management Services Inc. ("TMSI"). All of these subsidiaries are Alberta corporations, with the exception of ATI which is incorporated under the laws of Canada.

AGT Limited provides long distance telecommunication services throughout Alberta and local telecommunication services throughout Alberta except for the City of Edmonton.

600839 Alberta Ltd. principally provides data communication services through a division operating under the name of AGT Advanced Communications.

AGT Directory Ltd. provides directory advertising services throughout Alberta except in the City of Edmonton.

669680 Alberta Ltd. is a new company, added during 1995, which is currently inactive.

AGT Mobility Inc. provides cellular telecommunications services throughout Alberta.

TELUS Information Services Inc. ("TISI") is an investment and holding corporation with a 50% ownership interest in the following:

a) ISM Information Systems Management (Alberta) Corporation which is the general partner for ISM Information Systems Management (Alberta) Partnership, formed to provide computer outsourcing services.

b) Telecential Communications (Canada) Inc. and Telecential Communications U.K. Limited which are general partners of a number of partnerships providing joint cable and telephony services in the United Kingdom.

On January 1, 1996, TISI was amalgamated with its parent company, 288922 Alberta Ltd., and continued under the name of TISI.

423337 Alberta Ltd. owns yellow pages publishing rights under license from AGT Limited and sublicenses such rights to AGT Directory Ltd.

Alta Telecom International Ltd. wholesales cellular products to cellular telecommunications service providers in Western Canada.

ED TEL Inc. was acquired by TELUS in 1995 and is a management holding corporation whose wholly owned subsidiaries generally are providers of telecommunications services and directory advertising services within the City of Edmonton. Its wholly owned subsidiaries included ED TEL Communications Inc., ED TEL Directory Inc., ED TEL Mobility Inc. and ETCOM Enterprises Inc. at the time of acquisition by TELUS. In May, 1995, ED TEL Inc. sold ED TEL Mobility Inc. to AGT Mobility Inc. On July 1, 1995, ED TEL Mobility Inc. and AGT Mobility Inc. were amalgamated.

ED TEL Communications Inc. provides local telecommunication services within the City of Edmonton.

ED TEL Directory Inc. provides directory advertising within the City of Edmonton.

ETCOM Enterprises Inc. ("ETCOM") is a management holding corporation whose subsidiaries include:

a) ETCOM Canada Inc., a 100% owned subsidiary of ETCOM, which developed a software system for tracking blood and blood products. This system was sold to the Red Cross in 1994 but ETCOM Canada Inc. continues to provide limited consulting support for the system.

b) 413200 Alberta Ltd., a 55% owned subsidiary of ETCOM, which acts as a wholesale distributor of IBM computer hardware for ED TEL Inc. and its subsidiaries.

c) ETCOM International Inc., a 100% owned subsidiary of ETCOM, which is in the process of completing telecommunications consulting contracts provided to other countries. This company is expected to be wound up on the completion of these contracts.

TELUS Management Services Inc. provides management services to TELUS Corporation and its direct and indirect subsidiaries and partnerships within the TELUS group.
